Terms & Conditions for Nat’s Coffee Nook

1. About Nat’s Coffee Nook

Nat’s Coffee Nook is a UK-based sole trader providing support to UK and EU business owners, and archaeology & heritage professionals.

These Terms and Conditions apply to all services provided through Nat’s Coffee Nook.

A separate written client agreement may be entered into for specific work. Where such an agreement exists, that agreement takes precedence over these website Terms and Conditions.

2. Services

Services are provided on an hourly basis or project basis depending on the agreed engagement. Additional hours may be added (ad-hoc or ongoing) per my availability.

Services provided are practical and operational in nature and do not constitute legal, financial, tax, or other regulated professional advice.

Clients remain responsible for all business decisions and the implementation of any recommendations or work provided.

3. Engagement of Services

Work begins only after the client has:

  • submitted a request for services, and
  • received written confirmation that the work can be undertaken.

All work is subject to availability.

Nat’s Coffee Nook reserves the right to decline work that falls outside the scope of services, available capacity, or ethical standards.

4. Billing and Invoicing

All services are billed hourly based on time spent performing the agreed work.

Time may include, where relevant:

  • performing tasks requested by the client
  • research and preparation necessary to complete the work
  • communication directly related to the work
  • reviewing materials provided by the client

Invoices are issued on the final day of each calendar month for work completed during that month.

Payment terms are 7 days from the invoice date. All invoices are issued in GBP (British Pounds).

Payment is currently accepted via bank transfer.

Clients are responsible for any currency conversion costs or international banking fees.

5. Late Payment

Invoices not paid within the stated payment period may be subject to interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Nat’s Coffee Nook reserves the right to:

  • pause work until outstanding invoices are settled
  • withhold further services until payment is received

6. Scope of Work

Work is carried out based on the tasks and scope agreed between the client and Nat’s Coffee Nook.

Any additional work requested outside the agreed scope:

  • may require additional time
  • will be billed at the standard hourly rate
  • is subject to availability

Nat’s Coffee Nook reserves the right to decline additional work that falls outside agreed parameters.

7. Client Responsibilities

Clients are responsible for providing the information, materials, access, and instructions necessary for work to be carried out.

Delays caused by missing information, unclear instructions, or lack of access may affect timelines and may still result in billable time where work has been performed.

Clients remain responsible for reviewing and implementing any work or materials provided.

8. Communication

Day-to-day communication related to ongoing work is conducted in writing, typically via email or other agreed written channels.

Written communication allows for clear documentation of requests, instructions, and updates.

Video meetings may be arranged where necessary, but routine daily communication is conducted in writing.

9. Working Hours

Standard working hours are Monday to Friday, 9:00–17:00 UK time, excluding public holidays.

Requests submitted outside these hours will normally be addressed during the next working period.

Availability may vary depending on workload and existing commitments.

10. Confidentiality

During the course of providing services, Nat’s Coffee Nook may receive access to confidential business information.

All client information will be treated as confidential and will not be disclosed to third parties except:

  • where required by law
  • where necessary to deliver the agreed services
  • where professional advisers are involved and bound by confidentiality obligations

Specific confidentiality provisions may also be outlined in the separate client agreement.

11. Limitation of Liability

To the fullest extent permitted by law:

The total liability of Nat’s Coffee Nook for any claim arising out of services provided shall not exceed the total fees paid by the client for the relevant work.

Nat’s Coffee Nook shall not be liable for:

  • indirect or consequential losses
  • loss of profit, revenue, business opportunity, or reputation
  • losses arising from decisions made or actions taken by the client

Clients remain responsible for their own business operations and decisions.

12. Professional Disclaimer

Services provided by Nat’s Coffee Nook are operational and administrative in nature.

Nothing provided constitutes:

  • legal advice
  • financial advice
  • tax advice
  • regulated professional services

Clients should seek appropriate professional advice where required.

No guarantee is made regarding business outcomes or results.

13. Termination of Services

Either party may discontinue working together at any time.

Nat’s Coffee Nook reserves the right to terminate services where:

  • invoices remain unpaid
  • there is abusive, inappropriate, or unethical conduct
  • there is a material breach of agreement

Any outstanding invoices for work already performed remain payable.

14.Governing Law

These Terms and Conditions are governed by the laws of England and Wales.

Any disputes arising from services provided by Nat’s Coffee Nook shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

These Terms and Conditions may be updated periodically to reflect operational, legal, or business changes.
